What are the requirements to incorporate a Sdn. Bhd. (Private Limited Company)?
  • To register a Sdn. Bhd. (Sendirian Berhad), the following requirements must be met:
  • At least one (1) shareholder holding a minimum of one (1) ordinary share.
  • At least one (1) director who is a resident of Malaysia.
  • A qualified company secretary, who must be:
    • A member of a professional body approved by the Minister of Domestic Trade, or
    • Licensed by the Companies Commission of Malaysia (SSM).
  • The director and company secretary must ordinarily reside in Malaysia.

Yes. Every Sdn. Bhd. must appoint a qualified Company Secretary within 30 days of incorporation.

  • 17% on the first RM600,000 for SMEs with paid-up capital < RM2.5 million.
  • 24% on taxable income exceeding RM600,000.

Update: As of February 2025, businesses with an annual turnover of RM150,000 – RM500,000 have been given a six-month extension before mandatory E-Invoice implementation on 1 January 2026. Businesses with turnover below RM150,000 remain exempt.

Failure to comply with E-Invoice requirements can result in:

  • Fines of RM200 – RM20,000 per violation.
  • Imprisonment up to 6 months or both.
