What are the requirements to incorporate a Sdn. Bhd. (Private Limited Company)?
  • To register a Sdn. Bhd. (Sendirian Berhad), the following requirements must be met:
  • At least one (1) shareholder holding a minimum of one (1) ordinary share.
  • At least one (1) director who is a resident of Malaysia.
  • A qualified company secretary, who must be:
    • A member of a professional body approved by the Minister of Domestic Trade, or
    • Licensed by the Companies Commission of Malaysia (SSM).
  • The director and company secretary must ordinarily reside in Malaysia.

Yes. Every Sdn. Bhd. must appoint a qualified Company Secretary within 30 days of incorporation.

Malaysia’s standard corporate income tax rate is 24%. For qualifying resident companies that meet LHDN’s eligibility conditions, the published preferential rates are 15% on the first RM150,000, 17% on RM150,001–RM600,000, and 24% above RM600,000.
