A Bumiputera company in Malaysia generally refers to a Malaysian business that is substantially owned and genuinely controlled by Bumiputera individuals. However, incorporation with the Companies Commission of Malaysia (SSM) does not automatically grant formal Bumiputera status. The applicable recognition and requirements depend on the authority, licence, tender or assistance programme involved.

Quick answer: For Ministry of Finance (MOF) procurement purposes, a 51% Bumiputera company must normally demonstrate at least 51% Bumiputera participation in equity, directors, key management and employees, together with genuine Bumiputera financial and operational control. Other agencies may apply different or additional conditions.

What is a Bumiputera company in Malaysia?

“Bumiputera-owned” and “formally recognised as Bumiputera” are not always the same. A company may have Bumiputera shareholders, but formal recognition is normally obtained from the authority responsible for the intended purpose.

SSM registers companies and records information such as shareholders, directors and share capital. SSM has stated that assessing a company’s Bumiputera status is outside its function. A business seeking recognition must therefore apply to the relevant authority—for example, MOF for federal supply and service procurement or CIDB for Bumiputera-status construction work.

What are the MOF requirements for a 51% Bumiputera company?

According to the official MOF/ePerolehan supplier-registration guidance, the principal criteria for a 51% Bumiputera rating include the following:

  • At least 51% of the company’s equity is owned by Bumiputera.
  • Individual Bumiputera shareholding exceeds individual non-Bumiputera shareholding.
  • At least 51% of the board of directors consists of Bumiputera.
  • At least 51% of the chief executive, managing director, general manager and other key positions are held by Bumiputera.
  • At least 51% of employees are Bumiputera.
  • Financial management and important financial authorisations are controlled by Bumiputera.
  • Payroll and EPF records support genuine Bumiputera participation.
  • The organisation chart and actual management functions demonstrate genuine Bumiputera control.

For a 100% Bumiputera rating, the applicable guidance generally requires 100% Bumiputera equity ownership, board participation, management and financial control. The latest conditions should always be checked when an application is made because requirements can differ by registration type and field code.

Is 51% Bumiputera shareholding alone sufficient?

No. Equity is only one part of the assessment. Authorities may examine whether Bumiputera shareholders and directors exercise genuine decision-making authority and whether the management, employees and financial controls support the stated ownership structure.

A nominal arrangement in which shares are held for appearance while control remains with another party may not satisfy the requirements. Status can also be withdrawn if the company later stops meeting the applicable conditions.

What are the benefits of Bumiputera company status?

1. Access to government procurement opportunities

A company registered with MOF under the correct field codes may participate in eligible federal supply and service procurement. Certain opportunities are reserved for qualifying Bumiputera companies, while applicable procurement rules may provide preferences to Bumiputera suppliers or manufacturers.

Status does not guarantee an award. The company must still meet the tender’s technical, financial, experience, licence and pricing requirements.

2. Eligibility for government construction opportunities

Construction companies may apply for CIDB recognition and participate in eligible Bumiputera construction procurement. The main certificates serve different purposes:

  • PPK: registration to undertake construction work;
  • SPKK: eligibility for government construction procurement; and
  • STB: recognition of Bumiputera contractor status.

Bumiputera status does not replace the PPK, SPKK, contractor grade, work category or technical-personnel requirements.

3. Access to GLC and industry vendor programmes

PETRONAS and certain government-linked companies operate vendor-registration and development programmes. Some work or equipment categories may impose minimum Bumiputera equity, management, employment or technical requirements. Applicants must check the requirements of the particular category instead of assuming that one certificate covers every activity.

4. Dedicated financing and development programmes

Eligible Bumiputera entrepreneurs may qualify for selected financing, contract-financing, training, mentoring, premises and market-access programmes offered by organisations such as MARA and other participating institutions. Each programme has its own ownership, operating-history, sector, credit and contribution requirements.

5. Commercial premises and market access

Some Bumiputera-focused programmes provide access to commercial premises, industry development, export assistance and corporate supply chains. Approval remains subject to programme availability and the applicant’s eligibility.

Does Bumiputera status replace an industry licence?

No. Bumiputera status is an ownership and control recognition used for particular programmes or procurement purposes. A company must still obtain every licence, permit or registration required for its activity.

Depending on the business, these may include an SSM registration, local-authority premises licence, CIDB registration, professional practising licence, sector regulator approval, manufacturing approval, halal certification or PETRONAS vendor registration.

Does a Bumiputera company receive a lower tax rate?

Not automatically. There is no separate corporate income-tax rate granted solely because a company has Bumiputera status. Corporate tax treatment depends on the Income Tax Act, the company’s eligibility for the applicable SME rates and any separately approved tax incentive.

What documents are commonly required?

The exact checklist depends on the authority, but applicants may be asked to provide:

  • SSM company profile and incorporation documents;
  • register of shareholders and shareholding information;
  • directors’ information;
  • organisation chart and key-management details;
  • employee list, payroll and EPF contribution records;
  • bank-signatory and financial-authorisation information;
  • business-premises information;
  • relevant licences and professional certificates; and
  • supporting technical, financial or experience records required by the relevant field code.

The authority may request clarification, conduct verification or inspect the company’s premises. Companies should keep their statutory records, payroll records and actual operating arrangements consistent with the information submitted.

  1. Identify the exact purpose—for example MOF procurement, CIDB construction work, PETRONAS vendor registration or a financing programme.
  2. Check the latest ownership, management, employment, capital and technical conditions issued by that authority.
  3. Incorporate or update the company correctly with SSM.
  4. Prepare the corporate, payroll, financial and licensing documents.
  5. Apply through the relevant authority’s official platform.
  6. Maintain compliance after approval and update the authority when material company information changes.
